These Terms of Service ("Terms") govern your use of the ACTON Consulting website (actonconsulting.co) and establish the framework for engaging our advisory, assessment, and fractional CIO services. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Nature of Services

ACTON Consulting provides vendor-neutral IT leadership, fractional CIO services, delivery assurance, and IT strategy consulting.

• Independence: We are strictly vendor-neutral. We take no vendor commissions and carry no implementation revenue on any deal we advise. We are paid only by our clients.
• Diagnostics: Engagements typically begin with a fixed-fee diagnostic assessment. The resulting 90-day roadmap constitutes our proposed plan of action.
• Execution: Continued engagement for execution, advisory retainers, or managed IT services is subject to a separate, signed Master Services Agreement (MSA) and specific Statements of Work (SOW) outlining SLAs, deliverables, and fees.

2. Intellectual Property

All content on this website, including text, graphics, logos, and methodologies, is the property of ACTON Consulting and is protected by intellectual property laws. Deliverables, roadmaps, and strategic frameworks developed specifically for a client during a paid engagement become the property of the client upon full payment, as detailed in the governing MSA.

3. Limitation of Liability

Our advice and strategy are based on the information provided by the client and current industry best practices. While we strive for excellence and measure ourselves on cost saved and risk reduced, ACTON Consulting cannot guarantee specific business outcomes or absolute security against cyber threats.

To the maximum extent permitted by applicable law, ACTON Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our website or implementation of our advisory services.

4. Client Responsibilities

To provide accurate delivery assurance and effective IT strategy, we rely on the timely provision of accurate information and necessary access from our clients. Delays in client provision of data, approvals, or access to third-party integrators (SIs) may impact the delivery timelines of our roadmaps.

5. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Lahore, Pakistan.

6. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the website or our services following the posting of revised Terms means that you accept and agree to the changes.
